Yes. We file a change of registered agent with your state, gather your past filings and records, and take over the calendar from there. If a filing was missed before you joined, we catch it up.
States charge late fees and, in time, can take away your good standing or dissolve the company. We file ahead of every deadline, and a company that isn't in good standing can have its payments and bank account held, which is why we keep both current together.
Not for a company formed in the US. FinCEN's rule of August 2026 limits beneficial ownership reports to companies formed outside the US that register to do business here. We'll tell you if that changes.
No. Cedar prepares and files your company's filings and keeps its records, but we're not a law firm and don't give legal or tax advice. If your situation calls for it, talk to a lawyer or an accountant.
Delaware corporations owe franchise tax and an annual report by March 1. The tax can be worked out two ways, and for a startup with millions of authorized shares the assumed par value method is usually far lower. We work out both and file the lower one.
Usually, once your company does business in another state, for example with an employee or an office there. That's called foreign qualification. We file it, act as your registered agent there and add that state's deadlines to your calendar.
Form 990-N if your gross receipts are normally $50,000 or less, Form 990-EZ below $200,000 in receipts and $500,000 in assets, and the full Form 990 above that. It's due on the 15th day of the fifth month after your year ends, and missing it three years running costs you your exemption. Compliance builds whichever one you file from your Cedar books.
